Business Account Requirements

Below is a list of common business documentation and information, some or all of which you must present to open a deposit account, based on your business type. Additional documentation may be requested, based on business needs, to open an account.

Corporation

  • The name, address, date of birth and social security number (or passport information in the case of non-US person individuals) for1:
    • Each individual, if any, who owns, directly or indirectly, 25% or more of the equity interests of the Legal Entity customer (for example, each natural person that owns 25% or more of the shares of a corporation); AND
    • An individual with significant responsibility for managing the Legal Entity customer (for example, a chief executive, officer, chief financial officer, chief operating officer, managing member, general partner, president, vice president, or treasurer)
  • Federal Employee Identification Number (EIN)
  • Certified Articles of Incorporation, Corporate Charter or Government-Issued Business License, corporate bylaws.
  • 501(c) letter from the IRS or tax-exempt documentation for nonprofits.
  • Business status must be listed as "active," "current" or "in good standing" on the website of the state entity where corporations are registered for the state in which the business was incorporated. If you are doing business in another state where you wish to open your account, your company must be listed as "active," "current" or "in good standing" on that state’s applicable entity website as well.   • Corporate Resolution certified by corporate secretary or other applicable officer, and a signature card signed by account signers.

Limited Liability Company (LLC)

  • The name, address, date of birth and social security number (or passport information in the case of non-US person individuals) for1:
    • Each individual, if any, who owns, directly or indirectly, 25% or more of the equity interests of the Legal Entity customer (for example, each natural person that owns 25% or more of the shares of a corporation); AND
    • An individual with significant responsibility for managing the Legal Entity customer (for example, a chief executive, officer, chief financial officer, chief operating officer, managing member, general partner, president, vice president, or treasurer)
  • Federal Employee Identification Number (EIN)
  • A Social Security number is acceptable for sole member LLCs.
  • Articles of Organization or Government-Issued Business License.
  • Business status must be listed as "active," "current" or "in good standing" on the website of the state entity where LLCs are registered for the state in which the business was organized. If you are doing business in another state where you wish to open your account, your company must be listed as "active," "current" or "in good standing" on that state’s applicable entity website as well.   • Declaration of Unincorporated Business signed by all managers or member-managers, and a signature card signed by account signers.

Partnership

  • The name, address, date of birth and social security number (or passport information in the case of non-US person individuals) for1:
    • Each individual, if any, who owns, directly or indirectly, 25% or more of the equity interests of the Legal Entity customer (for example, each natural person that owns 25% or more of the shares of a corporation); AND
    • An individual with significant responsibility for managing the Legal Entity customer (for example, a chief executive, officer, chief financial officer, chief operating officer, managing member, general partner, president, vice president, or treasurer)
  • Federal Employee Identification Number (EIN)
  • Partnership Agreement for general partnerships.
  • Certificate of Limited Partnership for limited partnerships, and the business status must be listed as "active," "current" or "in good standing" on the website of the state entity where limited partnerships are registered for the state in which the business was formed. If you are doing business in another state where you wish to open your account, your company must be listed as "active," "current" or "in good standing" on that state’s applicable entity website as well.   • Declaration of Unincorporated Business executed by the partners (or general partners for a limited partnership), and a signature card signed by account signers.

Sole Proprietorship

  • Federal Employee Identification Number (EIN) or Social Security number of the sole proprietor.
  • Two forms of personal ID, such as a driver license and Social Security card.
  • Certificate of Assumed Name, if using a trade or assumed name and if required by state law (shows the business name has been registered with the appropriate entity(ies) in your state).
  • Declaration of Unincorporated Business signed by owner, and signature card signed by account signers.
